Terms of Service

These Terms of Service ("Terms") form a legal agreement between you and STUDYDEN LTD, a private limited company registered in England and Wales (company number 17180776) ("StudyDen", "we", "us", or "our"), and govern your access to and use of the StudyDen website, platform, and services (collectively, the "Service"). By creating an account, subscribing, or otherwise using the Service, you confirm that you accept these Terms and agree to comply with them. If you do not agree, do not use the Service.

1. Who We Are

The contracting party for the Service is STUDYDEN LTD, a private limited company registered in England and Wales (company number 17180776), with its registered office at 1 Melbreak Grove, Middlesbrough, TS5 8PP, England. You can contact us at support@studyden.co.uk.

2. Eligibility and Parental Responsibility

You must be at least 18 years old and a parent or legal guardian to create an account. Children may only use StudyDen on accounts set up and supervised by their parent or guardian. By creating a child profile, you confirm you have parental responsibility for that child and consent to the processing described in our Privacy Policy.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us immediately at support@studyden.co.uk if you believe your account has been accessed without your permission.

4. Subscriptions, Free Trial, Auto-Renewal and Payment

  • Free trial. New subscribers may receive a 14-day free trial. Your payment card is collected at sign-up but is not charged during the trial. Trial accounts have access to a limited preview of the Service (currently the first two weeks of curriculum content).
  • Auto-renewal — please read carefully. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan and your payment card will be charged the then-current price. Paid subscriptions automatically renew at the end of each billing period (monthly or annual, as selected at checkout) until you cancel. By subscribing, you expressly consent to this auto-renewal and authorise recurring charges to your payment card.
  • How to cancel. You can cancel your subscription at any time from your account settings or by emailing support@studyden.co.uk. Cancellation takes effect at the end of the current billing period — you will keep access until then.
  • Payment. Payments are processed securely by Stripe. We do not store your full card details on our servers.
  • Price changes. We may change subscription prices on reasonable advance notice (typically 30 days). Price changes will not take effect until your next renewal, and you will have the option to cancel before the new price applies.
  • Taxes. Prices are shown inclusive of UK VAT where applicable.

5. Refunds

  • 14-day free trial — no charge. You can use StudyDen during the 14-day free trial at no cost. Cancel anytime before the trial ends from your account or by emailing us, and no payment is taken.
  • 7-day refund guarantee on your first charge. If you change your mind within 7 days of your first paid charge (whether monthly or annual), email us at support@studyden.co.uk and we will refund that charge in full, no questions asked.
  • After the 7-day refund window. Once the 7-day window has passed, payments for the current billing period are non-refundable. If you cancel, your access continues to the end of the period you have paid for, and your subscription will not renew.
  • Renewals. Subscription renewals (the second month or the second year onwards) are not covered by the 7-day refund guarantee — only the first paid charge is. Cancel before the renewal date to avoid being charged.
  • Statutory rights under the Consumer Rights Act 2015. Nothing in this section affects your non-waivable rights as a consumer. If digital content we supply is not of satisfactory quality, fit for purpose, or as described, you are entitled to a repair or replacement (or, where those are not possible, a price reduction) under the Consumer Rights Act 2015. 6. Acceptable Use

When using the Service, you agree that you will not:

  • Use the Service for any unlawful, harmful, fraudulent, or abusive purpose.
  • Attempt to gain unauthorised access to any part of the Service, our systems, or another user's account.
  • Upload, share, or transmit content that is offensive, inappropriate, infringes the rights of others, or harms children.
  • Misuse the Luna AI assistant — this includes attempting to bypass safety filters, prompt-injection attacks, generating harmful content, or using Luna for purposes other than supporting a child's learning.
  • Scrape, crawl, copy, or systematically extract content from the Service, whether by automated means or otherwise.
  • Resell, sublicense, white-label, or otherwise commercially redistribute access to the Service or its content.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service, except where we are required by law to permit it.
  • Use the Service to train, fine-tune, or evaluate any third-party AI model.
  • Interfere with, disrupt, or place an unreasonable load on the Service, including through denial-of-service activity or excessive automated requests.
  • Share account credentials with anyone outside your immediate household.

7. Luna AI and Educational Disclaimers

  • AI may make mistakes. The Luna AI assistant uses generative AI and may produce inaccurate, incomplete, or unexpected output. You should not rely on Luna for medical, legal, mental-health, safeguarding, or other professional advice. Always check important facts independently.
  • Educational supplement, not a replacement. StudyDen is designed to supplement home learning. It is not a regulated school, does not provide formal qualifications, and does not replace professional educational, SEND, or safeguarding advice. Decisions about a child's education, schooling status, and special educational needs are your responsibility as parent or guardian.
  • UK home education law. If you home-educate, you are responsible for complying with the requirements set out in section 7 of the Education Act 1996 (or equivalent) and for any necessary engagement with your local authority. StudyDen does not act on your behalf in any such matters.
  • Curriculum alignment. Where StudyDen describes lessons as aligned with the National Curriculum or specific year groups, this is a good-faith mapping for guidance only and is not a guarantee of equivalence to school-delivered education.

8. Intellectual Property

  • StudyDen-owned material. StudyDen owns or licenses all proprietary elements of the Service, including the StudyDen brand, name, logo, website design, scaffolding logic, AI prompts and pipelines, lesson sequencing, parent dashboard, and the underlying software. These are protected by copyright, trade mark, and other intellectual property laws.
  • Limited licence to you. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your household's personal, non-commercial educational use during your subscription. No other rights are granted.
  • Oak National Academy content. Some lesson materials are derived from or reference content licensed under the UK Open Government Licence v3.0 (Oak National Academy). Attribution and licence details are provided on our Credits page. Your use of such content is subject to the terms of that licence.
  • Restrictions. Except as expressly permitted, you may not copy, modify, distribute, sell, lease, or create derivative works of any StudyDen-owned material without our prior written consent.
  • Feedback. If you send us feedback or suggestions, you grant us a perpetual, royalty-free licence to use them without obligation to you.

9. User Content

You retain ownership of any content you submit to the Service (such as messages to Luna or notes you save). By submitting content, you grant StudyDen a worldwide, royalty-free, non-exclusive licence to use, host, store, and process that content solely as needed to operate, secure, and improve the Service. You are responsible for ensuring you have the rights to any content you submit, and that it does not breach Section 6.

10. Service Availability — No Uptime Guarantee

We work hard to keep the Service running reliably, but we do not guarantee uninterrupted or error-free availability. The Service may be unavailable from time to time due to maintenance, upgrades, third-party outages (e.g. our hosting, AI, or payment providers), or events beyond our reasonable control. We do not offer a service-level agreement, uptime guarantee, or service credits to consumer subscribers, and downtime is not in itself grounds for a refund.

11. Modifications to the Service

We may add, change, remove, or replace features of the Service at any time as the product evolves. Where a change materially reduces a paid feature you are actively using, we will give reasonable advance notice and, where appropriate, offer you the option to cancel.

12. Suspension and Termination

  • By you. You can cancel your subscription or delete your account at any time. See our Privacy Policy for how account deletion works.
  • By us. We may suspend or terminate your access to the Service if we reasonably believe that:
    • you have breached these Terms (including the Acceptable Use rules in Section 6);
    • your conduct poses a risk to children, other users, or the integrity of the Service;
    • your payment has failed and is not resolved within a reasonable time;
    • continued provision of the Service would expose us to legal or regulatory risk; or
    • we are required to do so by law, court order, or competent authority.
    We will give you reasonable advance notice where it is practicable to do so. We may suspend or terminate your access immediately and without prior notice in cases involving serious breach, risk to a child or other user, fraud, or where required by law.
  • Effect of termination. On termination, your right to access the Service ends immediately. Sections of these Terms that by their nature should survive (including Sections 8, 13, 14, 15, 18, and 21) will continue to apply.

13. Disclaimers

Except as expressly stated in these Terms or required by law, the Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will meet your specific educational goals, that AI-generated content will be free from error, or that the Service will be uninterrupted, secure, or error-free.

This Section 13 does not limit your non-waivable rights under the Consumer Rights Act 2015 or other applicable consumer law.

14. Limitation of Liability

Please read this section carefully — it limits our liability to you.

  • Nothing in these Terms limits or excludes any liability that cannot legally be limited or excluded, including liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any rights under the Consumer Rights Act 2015 that cannot be waived.
  • Subject to the paragraph above, our total aggregate liability to you arising out of or in connection with these Terms or your use of the Service — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — shall not exceed the greater of:
    • the total fees you paid to us for the Service in the twelve (12) months immediately before the event giving rise to the liability; or
    • £100.
  • To the fullest extent permitted by law, we are not liable for any indirect, incidental, consequential, special, or punitive damages, or for loss of profits, loss of data, loss of goodwill, loss of educational outcome, or business interruption, arising from your use of the Service.
  • You acknowledge that the prices we charge reflect the allocation of risk in these Terms and that, without these limitations, we would not be able to offer the Service at the price we do.

15. Indemnification

You agree to indemnify and hold harmless STUDYDEN LTD and its officers, employees, and contractors from third-party claims, damages, losses, liabilities, costs, and reasonable legal fees, to the extent such claims arise out of: (a) your breach of these Terms; (b) your misuse of the Service; or (c) content you submit to the Service that infringes the rights of another or breaches Section 6. This indemnity does not apply to the extent the claim arises from our own negligence, wilful misconduct, or breach of these Terms. The total amount you may be required to pay under this indemnity is subject to the same overall limit on liability set out in Section 14.

16. Force Majeure

We are not liable for any failure or delay in performing our obligations under these Terms where the failure or delay results from events beyond our reasonable control, including (without limitation) acts of God, fire, flood, severe weather, epidemic or pandemic, war, terrorism, civil unrest, government action, change in law, labour disputes, internet or telecommunications failure, denial-of-service attack, or failure of a third-party provider (such as our hosting, AI, or payment providers). If a force majeure event continues for more than 30 days, either party may terminate the affected subscription with written notice.

17. Third-Party Services

The Service relies on third-party providers (currently including Supabase, Stripe, Anthropic, Vercel, and Sentry). We are not responsible for the practices or availability of those services. Where they affect how your data is handled, this is described in our Privacy Policy.

18. Notices

We may give you notices required under these Terms by email to the address registered with your account, by posting a notice within the Service, or by updating the relevant page on our website. You may give us legal notices by emailing support@studyden.co.uk. Notices are deemed received on the next working day after sending.

19. Changes to These Terms

We may update these Terms from time to time. If we make material changes that affect your rights, we will give you reasonable advance notice (for example, by email or in-Service notice). Continued use of the Service after the effective date of an update means you accept the updated Terms; if you do not accept them, you should cancel your subscription before the effective date.

20. General

  • Entire agreement. These Terms, together with our Privacy Policy and any pricing or order page you accept at checkout, form the entire agreement between you and STUDYDEN LTD regarding the Service.
  • Severability. If any provision is held to be invalid or unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue in full force.
  • No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
  • Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms in connection with a corporate transaction (such as a merger, acquisition, or sale of assets), provided your rights are not materially diminished.
  • No third-party rights. A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term.
  • Relationship. Nothing in these Terms creates a partnership, agency, or employment relationship between you and StudyDen.

21. Governing Law and Jurisdiction

These Terms and any dispute arising out of or in connection with them (including non-contractual disputes) are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that nothing in this section prevents you from bringing a claim in the courts of the part of the United Kingdom where you live, as a consumer would normally be entitled to do.
